New ASRock H67M-ITX wont post 4 beeps

New parts, On bench not in case will not post. I get 4 short beeps. Using the following;
Silverstone 450w SFX PS
i7-3770S
2x2GB G.Skill RAM F3-10666CL9D-4GBECO
ASRock H67M-ITX
Silverstone Cooler
I turn it on I get 4 short beeps and that's it, non-repeating. I get the same post code with no RAM in the board. The CPU and the RAM are in the Mother boards compatibility chart. (not the exact model number for the ram)
Any ideas what 4 short beeps mean? Thanks for your input folks!

Bios version P2.10 is required for your i7-3770S.
If your motherboard shipped with an earlier bios version, you might need to buy or borrow a low end Sandy Bridge cpu to flash your bios so that you can then install your 3770S. Does your motherboard user manual tell you what 4 short beeps means?
