    Update:
    After 2 weeks I've finally got from a friend 2x2gb DDR2800 from AData (a OC series) and tested on my board. All went fine, no boot problems, no cold boot issue, even with OC.
    Unfortunately I can't find another PSU to test with.
    In conclusion I think my board doesnt like 4 sticks of ram, and the problem can be resolved by using hybrid sleep function from windows 7. With this problem is completely gone, even oc at 3.2 and system react in a second.
    However I hope GB will resolve this issue in his future motherboard definitly, its rather annoying

    It could be that (4 modules), or your memory itself is going bad.

    Your system has cold boot issues with 4 x 1GB of DDR2-800 memory and
    your system boots fine when tested with 2 x 2GB of DDR2-800 memory.
    The hybrid sleep shutdown "fixes" the problem with your 4 x 1GB setup.

    Can your post your 4 x 1GB bios settings using the P35 template from Gigabyte BIOS Templates (To Give Us Your Settings), post #4.

    Can your borrow a set of 2 x 2GB DDR3 memory to test with?

    Loading OPTIMIZED bios defaults is REQUIRED before you tweak your bios settings.
    This includes new system setups and immediately after flashing your bios!!!

    Well I have an story to share , it happened to me with other brand of motherboard and model than what I have now..

    And mostly I am writing this reply , so to point out one possibility ..

    I Had too nice speedy modules , of just DDR 3200 2-2-2-5 , and everything was sweet,
    until I got another two of the same type , so to get up to 4X512 = 2GB ,
    and the system become unstable ...

    The only solution that worked out, was to set the CAS to 3-2-2-5 ,
    with this change all modules worked fine .. at stock voltage.

    My story it is old , but who knows , It possible to help some one if he try this fix.
    Its an small sacrifice of latency VS stability ..

    I was checking memory and came across this,yeh i know its only a c2d or a pentium test ,might be something of interest in it tho.

    DDR3-1066 and -1333 memory do not yet result in better performance, and so should only be considered by hardcore enthusiasts, who aim for maximum overclocking performance knowing that they will get little benefit for spending a fortune.
    Not at 2010 to 2011 Mister Tom ... ( Plus, I got my set on discount )

    Not to say that he did not get it to run at 400/ 1600 ;)
