I have a gtx570, so your saying that could be the problem, hmmm but why isn't there another solution except changing out my Gpu, I can't afford to do this :/

Nope. I struggled for a long time with the issue and by now, I've entirely given up on trying to resolve it. I've tried numerous bios updates, different video cards, memory modules, CPU, etc. I have the boot cycle minimized now with one of the newer BIOS updates, but it will still do it 1 out of like 5 cold startups - which is light years better. But honestly... it shouldn't be doing it at all.
Unfortunately, I'm still getting random freezing in firefox that eventually locks the PC up on occasion. I built the PC for gaming and providing i'm in a game with firefox closed, it seldom locks up. I buy lots of parts, and I will NEVER buy another Gigabyte product in my life. I have been so entirely unimpressed with the lackluster support and non-reply to my emails to support, that I can't believe the company conducts itself in this manner.
I've had build issues with sketchy hardware in the past, and being in this industry, myself, I come to expect problems now and then with such rapidly changing technology - it comes with the territory when you have such little time for real testing. I'm willing to accept problems - but I also expect a product that works 100% when I pay for it - and if it doesn't apologize and give me a like / better model than what I had that WORKS.
So like I said, I still have the issues, its been months, and I'm not buying another Gigabyte product. If someone from Gigabyte customer service would like to contact me, I'd be more than happy to have a conversation.
spurst what qpi/vtt and dram voltages are you using atm? sorry if im treading old ground,random lock ups and cold boots are usually down to those voltages

Wazza300,
not to beat a dead horse, but i've long since given up on trying to resolve the issue. I've tried messing with nearly every setting on the board, multiple modules of ram, different CPU's video cards, etc. I've tried everything different, except for this board. I've gotten it about as stable as I'm able to. For anything else I need to have absolute reliability on, I have an i7 laptop I use or one of my other desktops.
if it helps anyone else, I'm at:
QPI = 1.205
DRAM = 1.640
but I'm clocked at 4600.
if youve done all that id switch to another mb,either a z77 gigabyte or another brand,i dont get those issues on my v pro,i think the z77 gigabyte boards will be better too as they let you use llc and dvid together

From what I have been reading Gigabyte Z77 boards do not have these boot loops and also Main bios and Back up bios do not have to match. The UD5 and UD3 boards are now have a switch to switch between bios's.

Gigabyte Modified Bios
I am in NO way affiliated with Gigabyte.
If you use a BIOS I Modified, you do so at your own Risk and Assume Full Responsibilty !
As I've had absolutely NO help and little to no reply from Gigabyte support on my issues, if I even move to another board, it will NOT be a gigabyte board. In fact, any board I ever buy again will NOT be a Gigabyte product. I can understand and forgive hardware issues, since tech changes so frequently. However, I cannot stomach lackluster customer support or failure to acknowledge an obvious hardware issue with the board with as many people who were having issues as this board with similar problems.
I know I'm just one small person, but my boards, and those of my customers will no longer feature Gigabyte branding, unless this company can somehow do something to rectify this situation.
Wazza, that wasn't directed at you you or any of the forum members at all, so I'm sorry if that came off a bit abrasive. I appreciate all of the help this community provides. Sadly, we couldn't fully resolve the issue, but that should be the manufacturer's job, and that's my expectation as a customer.
Thanks.
I just watch this discussion about cold boot issues in gygabyte motherboard and other brand. I have same problem, the random cold boot in my GA P67A UD3R B3. And i had latest bios, which is F9. and that issues nothing happen again, about 2 weeks after update bios and enable the XMP of my memory G.skill RipjawX 4GBXH (2x2gb PC 12800).
But i have one other suspected that may cause the cold boot which is Windows 7 Boot tweak. Many people on web post how to decreased booting time with tweak/adjust the maximum processor core use while Windows 7 booting. I did it too when i first use Windows 7, one year ago.
And i think, that causing the cold boot, because in first boot, the CPU use it 4 core which mean use a larger power and electricity. And maybe the other harware, especially the memory not enough have power or electricity to support 4 core when booting. it's like when you wake up, you are forced to run as fast as you can.
I attach the screen shoot below, to explain what i mean *i'm so sorry if my english so bad, i just want to help any gigabyte user with cold boot problem = )
