Is the following a good combo ?
and which mobo is the better pick for my needs

I plan to use this rig for gaming (maybe HL2 if it ever comes out) and playing with OC.

Mobo's narrowed to:

ASUS P4P800-E DELUXE FOR INTEL SOCKET-478 (costs $40 more than the GA)

or

GIGABYTE GA-8IPE1000 PRO SOCKET-478 INTEL 865PE 5PCI/AGP8X 4DUAL DDR400 AUDIO SATA USB2.0 LAN

GIGABYTE RADEON 9600 128MB DDR
OCZ DUAL CHANNEL PC3200 2X256MB EL DDR 400MHZ - COPPER HEATSPREADER
ANTEC SONATA QUIET MID TOWER W/380W POWER SUPPLY - BLACK
INTEL PENTIUM 4 2.8E GHZ 800MHZ FSB 1MB L2 CACHE 478-PIN RETAIL


Note that I have a WD 160GB and a Lite-on DVD burner on hand already..

The reason that Asus is more ex*****ve than the Gigabyte is because it has more features. The P4P800 (non Dlx) will cost less.
Either one is good, although you might like the Asus better if you're going to do overclocking.
