    So, let's go:

    - In device manager everything is OK, no yellow marks
    - in event viewer also everything OK
    - no Intel Inf installer installed (only chipset drivers from gigabyte site)

I did what you said - turned off hibernation and disk clean up.
Also in gpedit.msc all sleep settings was "not configured". I have set it tp turn off when in press power button and etc.
Now I'm gonna shut it down to see what's happening.
One thing.... in safe mode when i click to shut down, disks went off but picture freezed up! It just displays "shutting down" and freeze up, no mouse no keyb....

    let's try to shutdown :)

Ahh well I know you hate to hear it but it sounds like a Vista re-install or repair may be needed

Inf is the chipset installer, so that is good.

Is your MIT all on auto? If so that could be causing issues as well, you should manually set things up

Crucial dont tend to work well with GA boards from all I keep seeing just so you know. Do you have a different set to test with? Have you ram Memtest86+ rev 2.01 on those sticks to be sure they are ok?

    we will try it!
MIT is on auto. I'll try to set it manual. Then I will test memory.

Yeah best on auto. Let me know your CPU freq and I can give you suggested settings, aside from cpu voltages as I have not used a 45nm cpu yet

Ok here is what I suggest for 3ghz except CPU voltage, you will need to set that or leave on auto. The resr should be manually set, and later if you want overclocking or not you can lower some of the memory subtimings, ONE AT A TIME and test after each move >>>

    Robust Graphics Booster___________ [Auto]
    CPU Clock Ratio ____________ [9]
    CPU Host Clock Control_ [Enabled]
    CPU Host Frequency (MHz)__________ [333]
    PCI Express Frequency (Mhz)_______ [100]
    C.I.A. 2__________________________ [Disabled]
    System Memory Multiplier (SPD)____ [2.40]
DRAM Timing Selectable_______ SPD __ [Manual]

    CAS Latency Time________________ 4
    Dram RAS# to CAS# Delay_________ 4
    Dram RAS# Precharge Delay_______4
    Precharge Delay (tRAS)__________12
ACT to ACT Delay (tRRD)_________ 3-4
Rank Write to READ Delay________ 9-11
    Write to Precharge Delay_________ 3-5
    Refresh to ACT Delay______________32-42
    Read to Precharge Delay__________3-6
Static tRead Value_______________ 7-10 (7 is good and will likely work right off the bat, you can do 6 but it may take some work)

Static tRead Phase Adjust________ 1-31 (leave on Auto or zero or 1-31)

    System Voltage Control____ [Manual]
    DDR2 OverVoltage Control__ [+0.300V] = 2.1V
    PCI-E OverVoltage Control_ [+0.1V] <<< For Stability
FSB OverVoltage Control___ [+0.1V] <<< For Stability
    (G)MCH OverVoltage Control [+0.1V] <<< For Stability
CPU Voltage Control_______ [1.25 ? ] What it shows you for default, or leave on auto

If you want your RAM to always run at 800Mhz, and your CPU always to run at 3.0Ghz you need to Disable The following EIST, C.I.A.2, TM2, and C1E

Could be! Often times AUTO is too much or not enough or sometimes not even close
