The stock Intel cpu cooler is going to limit your maximum overclock.
Please report your cpu, both cpu core, and systems temperatures while you're running Prime95, OCCT, and ram testing applications.
I hate to add more time and effort to your stability testing, but you should include extended encoding and game playing to your stability testing.

What is your "normal" Cpu Vcore setting? It is displayed in your bios as:
    CPU Vcore .......... 1.????? ..........: [1.33750]

Please update your bios settings to show us which settings are set to AUTO, such as:
    tRD Phase1 Adjustment...................:1
    change this to:
    tRD Phase1 Adjustment..........1.........: [Auto]

To reach 4.00GHz the CPU Host Frequency (Mhz) will need to be set to 320MHz. With the System Memory Multiplier set to 3.33c, you're ram will be running at 1066MHz.

After you've posted the results (and temperatures) of your latest test, I'll provide suggested settings for running at 12.5 x 300MHz.
Be sure to provide the Memset, cpu-z, and EasyTune6 screen-shots.

Your PSU is adequate for now, but you might need to upgrade to a more powerful psu if you upgrade your video card to an upper mid-level or high-end unit.

At these higher overclock settings, you'll do best if you upgrade to a decent mid-level cpu cooler and fan. Approximate cost for this upgrade is in the $30 - $50 price range.

If you're not familiar with saving bios settings as a profile, check out this post for more information.

edIt: ProfJim beat me to it.

Powow: As your using an e5200 and it's stock hsf, what are your temps at?

It is rather ambitious to shoot for 4ghz on that chip with the stock hsf.

Thks for reply my temps during prime95 for cpu at highest was at 53C, but I'll go through all tests and list all temps soon , I will get another cooler but want to see how far I can go for now.At idle or just browsing weband downloading Cpu temp is 18 ,cores are at 35, motherboard at 28-29.Just to give you an idea.I'll get back soon.

Your temperatures are just short of amazing with a 39% overclock with the stock Intel cpu cooler. The posted cpu temp looks like it's a typo.
My best guesstimate is that you're probably near the overclock limits with your current cooling setup.

It looks like you've changed some bios settings in post #9 that weren't suggested:
    MCH/ICH
    MCH Core…………….....1.100V...........: 1.200

    DRAM
    DRAM Voltage ……....1.800V............: auto

You can confirm the actual DRAM voltage in the bios PC Health screen.
If the lower MCH Core setting works, leave it.

I suggest increasing Cpu Host frequency in 10MHz increments and then performing additional stress testing.
If you feel lucky, you can try an initial jump to 300MHz x 12.5 = 3.750GHz.
Be sure to monitor your temperatures.
Static tRead Value might have to loosened to 6 for each memory channel.
DRAM voltage might need to be manually set to 2.10 volts.
MCH Core might need to be increased to 1.22 or 1.24 volts.
Above 300MHz, you might need to lower the System Memory Multiplier.
Your memory might be stable up to or near ddr2-1100 speeds.

Make sure that you save your latest stable bios settings in a profile.
Have fun trying to go where no man has gone before with the stock cpu cooler.

Thks for reply I kept MCH core at 1.200 and dram on auto and dram actual voltage is 1.90v.I increased cpu fsb by 7 and running at 285mhz a 43% overclock.I'll begin testing tonight. Here are 2 screenshots of Everest with machine on idle and/or just browsing internet.

Can't be 100%, but although you can get a E5200 to 3.2-3.3GHz on stock voltage, it will get thirsty from then on.

If your goal is still 4GHz, I'd invest in a nice water cooling set up at the least.

Can you get it stable on a 333 FSB with a multi of 10.5? You'hh have to adjust your ram accordingly to keep it at or under its rated speed.
