    Well, a late follow-up on this. I had to reboot the PC for an unrelated issue, and it went into a reboot loop. I let it continue, and it eventually booted all the way into Windows after 2-3 reboots. I restarted the PC again, just to see if it was a one-time-thing or not. Not. It cycled through 2-3 reboots before finally entering Windows stably. All still with the original CPU - I haven't had a chance to install the new one yet (but was thinking about it for this weekend).

    I think I'm done messing around with this; I contacted the vendor I bought the Phenom II 940 from and am returning it and will buy a Phenom II 945, which should work with the F6 (stable) BIOS. I did send a follow-up email to Gigabyte Tech Support, so we'll see what they say, but I'm not sure I'd get an answer before the "30-day" period ran out on returning the CPU.

    Quick update: I did get a reply back from Gigabyte, but only to indicate that the F8d BIOS was beta and not finalized.

    It'll probably be a few weeks before I get around to buying and installing the Phenom II 945 - too busy in the upcoming weeks, and don't want to chew up any return-time with it just sitting on my desk. I'll try to remember to come back and let you guys know how it turned out.

    So? Did they not want to send you the beta BIOS then or what?

    If you think it works and you would like to have it I can likely get it for you

    Well, it's the one available from the Gigabyte website.

    Here's their response to my email about the 2-3 reboot cycle under F8d:
    Please note that F8d is an beta bios, it is not finalize
    Once finalize it'll be posted without the D behind the number
    If you think it works and you would like to have it I can likely get it for you
    Well, I thought it did work, until I needed to reboot earlier in the weekend. But as you can see from my post on 9-5, it clearly doesn't. Moot point anyway, as I've returned the 940 CPU, and as such have no need for any BIOS above F6.

    Well, after a long delay, here's an update.

    It appears that the CPU (Phenom II 945) that I bought is either DOA or is somehow incompatible with the M/B (despite everything to the contrary). I installed it, with the stock HSF, and the PC didn't POST. Nothing else changed. I've tried clearing the CMOS, removing all but one stick of RAM, even removed the video card. Nothing.

    What a huge PITA this has been. I'm in the process of cleaning up the old CPU (9750) and re-installing it with an aftermarket HSF I had (Freezer 64 Pro).

    Unfortunately, it took too long for me to get to this, and I'm beyond the 30-day return from Newegg. I may call the AMD number listed on the receipt and see if they'll help, but right now I really don't care.

    Anyway, thought I would provide an update to this. I appreciate everyone's help in the past, but it appears that trying to upgrade the CPU on this M/B just wasn't meant to be.
