Your memory SHOULD handle 5-5-5-15 at 900MHz, but.... <-- **edit** this should have said 5-5-5-18
Follow Chike's suggestions and let us know if it helps.
I'd apply his tRD and CAS6 settings first.
If that doesn't solve the problem, then lower the CPU ratio by one click as he suggests.

With auto settings ram was probably set to 5-6-6-20, it might have hold the higher speed but DRAM Voltage is on the low side, and that's up to kimboy11 if he want's to try and increase it.

Does DRAM Termination scale atumatically with DRAM Voltage or does it stand on it's own?
I am just guessing that like Vtt is CPU-MCH bus voltage, that DRAM Termination is RAM-MCH bus voltage, maybe this can help when OCing the ram?

Well its booting now. heres my bios changes. i'll get back to u guys after an overnight stress test

Are you using the 8x cpu multiplier or did you need to lower it?

My mistake, his memory is rated at 5-5-5-18 at 1.90 volts and I suggested 5-5-5-15.
In his 3.40GHz stable setup screen-shot, ET6 shows Dram Voltage = 1.90 and I had suggested 1.92 volts. We'll need to see what HWmonitor or another program shows for the actual DRAM voltage. I suggested 1.92 volts because the memory is usually under-volted a bit. He may have to increase his DRAM Voltage a bit higher, possibly up to 2.00 volts.

    kimboy11,
The next time you're in your bios, change tRAS from the current 15 setting to 18.
    With your current CAS = 6, tRAS = 15 probably isn't a problem.

Does DRAM Termination scale atumatically with DRAM Voltage or does it stand on it's own?
    From Lsdme:
DRAM Voltage Automatically changes the following if manually set:

MCH/DRAM Reference Voltage --(50% of Default Dram Voltage)
DRAM Termination Voltage -----.(50% of Default Dram Voltage)
Channel A Reference Voltage ---(50% of Default Dram Voltage)
Channel B Reference Voltage ---(50% of Default Dram Voltage)

    ---- end of Lsdme's "law" ----

I've seen several setups where the poster manually changed each of these four settings to 50% of the DRAM Voltage that they manually set.

I'll let Lsdme comment if the same procedure is used for these settings as is used with changing CPU Termination (VTT) to the default, and then tweaking CPU Reference Voltage, CPU Reference Voltage2, and MCH Refence Voltage and then raising VTT back up to the desired setting.

Well the RT6 screen catureshows DRAM Voltage is 1.9v and DRAM Termination is still targeted to 0.9v so are the other values, 50% of 1.8v.

The ET6 value of 1.90 volts might be the same as what will be reported in monitoring software. It might be that the four settings can be left on AUTO, even with increased DRAM Voltage, except when we are pushing our memory speeds well beyond its specified limits.

With some high quality 1066 memory, 1200MHz speeds are not too difficult, but this is only a 12.5% memory overclock from the guaranteed rated speed. Lower binned high quality 800MHz memory can usually overclock to 1066 speeds or higher. My older Ballistix (2.2 volt) 800MHz memory was stable at 1200MHz with 5-5-5-15 primary timiings under some conditions with my P35-DS3L and my EP45-UD3P.
