CPU Overclocking? (note: newbie)

I am very new t ooverclocking, and am just wondering about CPU Overclocking in general. All ive done so far is Overclock my ATI 9200 with the ATITool. Now i have a P4 2.4Ghz HT Processor and a 865 Intel Brand Motherboard. I also was wondering about the risks of processor overclocking. I cant afford to replace my processor, and its not worth it to me if theres serious risk of damaging my CPU.
