You should contact AMD and see if they can do some sort of exchange. You will want the newer version. The C3 125Watt. Well I guess we solved that problem. Hold off on the cpu fan.

Thanks for your help. I have just contacted both AMD and Gigabyte tech support about this. I purchased this as a combo mobo/cpu deal at Fry's, and when I saw it on the list of supported processors I thought that it would be fine. I know a lot of other people got in on this same deal at fry's so i'm trying to find out if anyone else is having this problem.

That's bad news. Your persistence is invaluable. We did well discovering this. Frys should recall and replace, but I doubt it. Now we will keep this in mind if we stumble across it again.

i think i have discovered the problem

there is a problem with 965 overheating.

i need to read up on it some more, but i read on another forum that it has something to do with the "cool n quiet" technology, enabled by default in the BIOS. It shoots up the voltage when the cpu is under load. I disabled it, manually set the voltage at 1.4V and tried again. It still hit 60C but more slowly. I next tried to set the voltage at 1.30V and am running prime95 again. After about 5 minutes, the core temps are steady at 46C. INCREDIBLE. but it has only been 5 minutes.

So you are dropping the voltage which in a way is dropping the wattage. It may become unstable unless you drop the cpu frequency or cpu mutiplier as well. Try Phenom Msr tweaker. With it you can drop the cpu NB vid the same amount, and drop each core multiplier as well. Play around with it a little it works great. Below is a link for it. PhenomMsrTweaker: Cool & Quiet customized.
