I wouldent be happy with it... I am saving for a 6800GT at the moment, but what kind of games are you going to be running?

It's a bit over $600 with 512MB of RAM, and around $700 (probably more) with a GB. Far over with parts designed for overclocking. I'd also agree that a 9800 Pro is the minimum, but try to get the 6800LE or 6600GT.

For a socket 754 system, you'd lose upgradability but get more bang-for-buck, as AMD said. I'd suggest getting cheaper parts if you get a socket 754 system. A Chaintech VNF3-250 and retail Athlon 64 2800 should be enough, though a Sempron 3100 with Arctic Silver 5 and the Venus 12 would be better for overclocking. With this greatly reduced cost, the video card could be upgraded to a GeForce 6800 and you'd still be at around the same overall cost as the socket 939 version.

And the processors are much better than yours. A 1.8GHz AMD K8 (Opteron, Athlon 64 or Sempron 3100). A 2.4GHz Athlon XP with Barton core (more like 2.8GHz for a core with 256KB L2 cache as yours probably has, if not less) would be close in performance to all three, as would a 2.8GHz 800MHz FSB Pentium 4. They don't even make that Athlon XP, and the P4 2.8C is really expensive (unless you get the LGA775 version, which instead forces you to get a really expensive motherboard if you want anything half-decent) and has worse upgradability than even the socket 754 system.

Edit: Yeah, I'd say a 9800 Pro would be the minimum for you but a 6600GT would be much better. A 6800 would be even better, though I think you'd rather have socket 939's upgradability than socket 754's bang-for-buck, so the 6800 would be out of the question.
